Board and decision rights

The board of Alaya Holdings Ltd is responsible for the company’s participations and for the policies set out here. Reserved matters are decided by the board in Cyprus and recorded in the company’s minutes.

Independence of investee companies

Companies in which Alaya participates are governed by their own boards and management. Alaya exercises its rights as a shareholder and does not manage the day-to-day operations of any group company.

Conflicts of interest

Actual and potential conflicts between the parent and any participation are identified, recorded and managed by the board. Interested directors do not participate in the relevant decision.

Transparency of structure

The group structure published on this site matches the share register at all times. Any change to registered shareholdings triggers a review of this site within the same week.

§5

Regulatory perimeter

Alaya carries on no regulated investment business and is not supervised by CySEC. The company does not solicit or accept investment from the public and offers no securities through this website.
